Terms for using ctx public materials and local search tooling.

Terms of Use

ctx is open-source local developer tooling and public documentation. By using ctx, you are responsible for how you install it, configure it, index local history, protect local storage, and share command output.

Your responsibilities

Use ctx only in ways that comply with applicable law, third-party rights, employer or customer obligations, and the terms of the coding agents and services whose history you index.

Do not use ctx to access data you are not authorized to access, bypass security controls, disclose secrets, violate provider terms, or publish private transcripts, source code, credentials, customer data, or other sensitive information without authorization.

ctx can store and write sensitive local developer history. Review results, logs, local data files, JSON output, and transcript files before sharing them.

Open-source software

ctx is provided under its applicable open-source license. The license governs your rights to copy, modify, distribute, and use the software. These terms cover use of the public site, documentation, support channels, and related project materials.

Public materials

The docs, examples, install instructions, commands, and project materials may change over time. We try to keep them accurate, but they may contain mistakes, omissions, or outdated information.

Hosted services

We may change, limit, suspend, or discontinue public website, download, support, or community services. You are responsible for keeping copies of any local data or configuration you need.

Referral program

You may use ctx referral create <codename> to choose a public referral codename. Once created, the codename is associated with your verified referral identity and cannot be changed. The only referral-attribution method is ctx pro --referral <codename>; there is no referral website, link, cookie, or installer parameter. The first valid direct attribution accepted for a referred trial is final. The program is for ordinary verified-person peer referrals, not creator, publisher, paid-media, or referral-site affiliate activity. You do not need a ctx pro trial or paid ctx pro subscription to refer.

An ordinary anonymous ctx pro trial lasts 14 days. An eligible referred trial lasts 30 days when a valid codename is accepted through ctx pro --referral <codename>. ctx pro remains a $20 USD monthly subscription; there is no annual plan. For one direct referral, each distinct qualifying paid invoice for that monthly subscription can accrue a $10 USD cash commission for invoices 1 through 12, with a maximum commission of $120 USD. In integer currency amounts, the qualifying base price is 2,000 cents, the commission per invoice is 1,000 cents, and the per-referral cap is 12,000 cents. Separately assessed Stripe tax does not change the 2,000-cent base-price test. Credited, discounted, partially paid, zero-value, prorated, duplicate, wrong-price, refunded, or disputed invoices do not qualify.

Invoice 1 and invoice 2 each accrue a separate pending $10 commission. Neither is eligible for payment until invoice 2 settles, a 14-day hold has passed from that settlement, and ctx completes authoritative reconciliation of both invoices. Each commission for invoices 3 through 12 has its own 14-day hold from that invoice's settlement and its own authoritative reconciliation. Hold expiry never approves or pays a commission automatically.

Self-referrals, fake or duplicate accounts, spam, cookie stuffing, misrepresentation, and other attempts to manipulate attribution or commissions are prohibited. Referrals between people at the same company are allowed, subject to each person's employer policies and other obligations. When sharing a codename publicly, disclose clearly that you may receive a commission. You are responsible for taxes and reporting obligations associated with commissions.

Refunds, payment disputes, fraud, policy violations, or invalid attribution void affected unpaid commissions. If an affected commission has already been paid, its reversal becomes a negative adjustment or debt, is deducted from future aggregate referral earnings, and requires manual review. ctx will not seek an external clawback of that already-paid commission.

Payout onboarding is completed through Stripe's hosted flow. At launch, each referrer may create one individual Stripe payout-recipient relationship only; there is no company payout path. Interactive setup collects the recipient's country before creation, while advanced machine-readable setup may supply a two-letter country code. ctx does not infer country from identity, organization, email, IP address, billing information, or any other signal. Stripe collects the recipient's identity, tax, bank, and other sensitive payout details. Invoice-level commissions and commissions across referrals are combined into aggregate manual payout batches, not separate onboarding relationships. Every payout requires authoritative reconciliation and manual action. Its timing depends on that review, Stripe onboarding and availability, the referrer's aggregate adjustment balance, and payment-network processing. Referral status is private and aggregate and does not identify referred people or expose their invoices.

Aggregate status distinguishes pending_cents, manual_review_cents, payable_cents, processing_cents, paid_cents, and debt_cents. manual_review_cents is accrued commission awaiting an explicit review outcome. processing_cents is a sent payout batch that has not settled. paid_cents is historical cash actually settled and does not decrease after a reversal. A post-paid reversal instead increases the nonnegative debt_cents balance. Every status satisfies:

earned_cents + debt_cents
  = pending_cents + manual_review_cents + payable_cents
    + processing_cents + paid_cents

Future earnings reduce debt before they become payable. There is no external clawback.

We may change or end the referral program prospectively. Updated terms apply from their stated effective date to qualifying invoices that settle on or after that date, subject to applicable law. Refunds, disputes, negative adjustments, fraud, and the other conditions above may still affect an earlier commission.

ctx is provided for local developer workflows. To the extent permitted by law, ctx software, documentation, downloads, websites, and support channels are provided as is and without warranties. We do not promise that they will be uninterrupted, error-free, secure against every threat, or suitable for every environment. You should evaluate ctx before using it with sensitive or regulated data.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, security incidents, business interruption, or unauthorized disclosure caused by your use of ctx.
